8. Corporate Supplies and Template Documents
Once a corporation or LLC is formed, it must comply with a variety of corporate formalities in order to preserve its limited legal liability status. This includes conducting an organizational meeting in which amongst other things the bylaws/operating agreement are/is adopted, shares/certificate of ownership issued and a board and corporate officers/managers are formally appointed.
We provide corporate kits that allow both for-profit and non-profit corporations and LLC's to meet these legal requirements. Our standard Corporate Kits include the following items:

  • Minutes
  • By-Laws/Operating Agreement
  • Stock/Membership Certificates
  • Transfer Ledger
  • Corporate Seal
  • Professional Binder and Slipcase

In addition to Corporate Kits, we also provide template corporate and legal documents including annual meeting minutes to help corporations and companies meet their legal requirements and maintain their limited legal liability status.

9. Dissolution and Withdrawal
Our services include dissolving and withdrawing corporations/LLC's and other corporate entities. This typically involves obtaining consents from the state department of taxation and preparing and filing dissolution or withdrawal forms with the Secretary of State. Why is it important to dissolve or withdraw from a state if your company is no longer doing business there? One of the main reasons is that by dissolving or withdrawing your company, your company will no longer be subject to state tax requirements which if left unpaid could result in tax payments owing, interest thereon and fines for late payment.
