2. Appointment Processing
3H works with your carriers to ensure appointments are completed.
We prepare the paperwork required by the carriers; file the request
and follow-up until the appointment is complete.
3. Consulting Services
With over 30 years of combined legal, regulatory and license experience
in the insurance industry, 3H's principals will work with you on
those special one-time licensing and corporate projects.
4. Licensing - New (Resident
and Non-Resident- Firm, Producer and Surplus Lines)
3H prepares requested applications and secures supporting documentation
to file the applications. You simply review the applications, sign
them and leave the rest to us. We file applications and follow-up
with the appropriate regulatory authority until the license is issued.
We file applications electronically whenever possible.
5. License Renewals/Changes
3H monitors your licenses; advises of upcoming renewals and orders
all supporting documents needed to process the renewals with the
licensing authority. As part of our license maintenance service,
we process name changes; change of address and notify the state
for changes.. We work with you to ensure your licenses are current.
6. Continuing Education
3H monitors your resident agent continuing education requirements;
advises status and provides website access that shows continuing

7. Purchasing Group Registration
and Maintenance
3H works with you to set up new and maintain existing Purchasing
groups. We prepare new state applications for review and signature
and obtain all ancillary documentation for formation and maintenance
of your existing purchasing group registrations. We file the applications
and follow-up with the regulatory authority until the group is registered.

8. Registered Agent Services
Many states require non-resident firms be registered to secure a
non-resident agency license. Some states require a resident agent.
We provide resident agent services at prices substantially cheaper
than other corporate service companies.

Business Formation/Incorporation
3H prepares for your signature all related documents required to
set-up a new company and make the necessary filings with the Secretary
of State and the IRS to get your company started.
2. Non Profit
Entities 3H forms all manner of non-profit corporations.
Our services include preparing and filing non-profit Articles with
the appropriate state agency in every state. 3H will also prepare
and file appropriate tax exempt status at the state (if necessary)
and the federal level and obtain other state approvals as required
by statute to legally form your non-profit.
3. Business Qualifications
All states require that business entities "doing business"
in their state qualify to do so. Accordingly, if your company would
like to do business, or is currently doing business, in a state
other than in the state in which it was formed, you need to qualify
your company in that state. 3H prepares and files the necessary
corporate documents to qualify or register your company to do business
in the U. S., its territories and possessions.
4. Statutory Newspaper
Publication
Certain states, including New York, require that Affidavits of Publication
be filed with the Secretary of State pursuant to formation, registration
or qualification to do business as a foreign company or partnership.
Other states such as Nevada require both domestic and foreign corporate
entities to publish an annual statement of information in a newspaper
of general circulation. We provide guaranteed newspaper publication
within statutory time limits to ensure all appropriate corporate
forms comply with state statutory requirements.
5. Annual Report and
Tax Filing Service
All of our registered agent clients are eligible to subscribe to
our annual report and tax filing service. For a nominal fee we will
notify you when your company's state annual report and taxes are
due, prepare the report for your company and file it. Failure to
comply with State law periodic reporting requirements can result
in the administrative withdrawal or dissolution of a company and
the imposition of penalty fees and interest. Our service has been
devised with the purpose of ensuring our client's remain in good
standing and avoid such administrative sanctions.
6. Consultation
3H provides a free consultation to help you determine which type
of entity (Sole Proprietorship, Partnership, Limited Liability Company
(LLC) or Corporation) suits your needs and corporate purpose.
7. Corporate Filings
3H files all corporate or commercial documents, as necessary, with
local, city, county, state and federal agencies. This includes:
Amendments to formation documents
- If the information on your businesses corporate documents
has changed since your business was started, you may need to
file an amendment to its incorporation or formation certificate
in jurisdictions where you are qualified. These changes include:
- change to your company's name;
- change
in authorized capital stock;
- change
the post office address so any process against the company
can be served;
- change
in the location of your company's office; and
- change,
amend or revoke the company's designated registered agent.

8. Corporate
Supplies and Template Documents
Once a corporation or LLC is formed, it must comply with a variety
of corporate formalities in order to preserve its limited legal
liability status. This includes conducting an organizational meeting
in which amongst other things the bylaws/operating agreement are/is
adopted, shares/certificate of ownership issued and a board and
corporate officers/managers are formally appointed.

9. Dissolution and Withdrawal
Our services include dissolving and withdrawing corporations/LLC's
and other corporate entities. This typically involves obtaining
consents from the state department of taxation and preparing and
filing dissolution or withdrawal forms with the Secretary of State.
Why is it important to dissolve or withdraw from a state if your
company is no longer doing business there? One of the main reasons
is that by dissolving or withdrawing your company, your company
will no longer be subject to state tax requirements which if left
unpaid could result in tax payments owing, interest thereon and
fines for late payment.

11. Search Services and Document Retrieval
3H helps you determine the availability of a corporate name, search
for existing company information or obtain documents kept on file
by a local, city, county, state or federal agency. 3H's search and
